This license agreement covers the use of sound effect libraries ("Sound Libraries") purchased by an individual end user ("you" or "Licensee") from AHA SOUND INC. (www.aha-sound.com) ("Licensor"), the creator of the Sound Libraries. For custom licenses please contact the Licensor directly before making an order.

By purchasing and/or downloading any Sound Library, you automatically agree to be bound by this End User License Agreement ("Agreement"). This Agreement grants you a worldwide, perpetual, non-exclusive license to use the sound effects contained in the Sound Libraries ("Sound Effects") listed on the invoice, subject to the terms and conditions below.

1. Grant of Rights

Under this Agreement, you are permitted to:

a) Install and use the Sound Libraries on a single workstation at a time, with the ability to make backup copies on other storage;

b) Incorporate and synchronize the Sound Effects into other media productions containing additional elements such as music, voice, images, etc. This includes distribution and public performance of the Sound Effects when integrated into productions such as broadcasts, films, music, websites, podcasts, apps, ads, multimedia, video games, and similar works.

2. Limitations

You are prohibited from:

a) Distributing or performing the Sound Effects in an isolated manner, without incorporating them into other media productions. This restriction applies to uses such as toys, product design, greeting cards, ringtones, soundboard apps, hardware devices, and media authoring tools.

b) To the full extent allowed by law, modifying, adapting, or repackaging the Sound Effects, except as permitted under clause 1b.

c) Training, improving, or developing any Neural Networks (NN), Artificial Intelligence (AI) or Machine Learning (ML) models or algorithms with the Sound Effects, whether for commercial or non-commercial use.

3. Ownership

All intellectual property rights in the Sound Libraries and Sound Effects are owned by the Licensor. You do not acquire any ownership rights and cannot claim authorship over the Sound Effects or Sound Libraries.

4. Term and Termination

This Agreement remains in effect unless terminated due to your breach of any term or condition. Upon termination, you must delete or destroy all copies of the Sound Libraries in your possession.

5. Indemnification

You agree to indemnify and hold the Licensor harmless from any claims, damages, liabilities, or expenses (including attorney fees) arising from your breach of this Agreement.

6. Limitation of Liability

Licensor shall not be liable for any damages, suits, loss of business/profits, business interruption, or other direct/indirect losses resulting from your use of the Licensor's Sound Effects.

7. No Assignment

Except as permitted for your specific licensed use, you may not assign, sublicense, sell or transfer the Sound Effects or Sound Libraries to any third parties.

8. Governing Law

This Agreement shall be governed by the laws of British Columbia, Canada.
